Fundraisly is a technology platform and does not act as a broker, dealer, placement agent, investment adviser, or intermediary in any transaction. Fundraisly does not participate in the negotiation, structuring, or execution of any investment, financing, or liquidity transaction, and does not receive transaction-based compensation.
Fundraisly’s services are limited to providing tools, information, and facilitating introductions between users. Any discussions, negotiations, or transactions that may occur as a result of connections made through the services are conducted solely between the relevant parties, without Fundraisly’s involvement, control, or supervision.
Users are solely responsible for evaluating opportunities, conducting due diligence, and complying with all applicable laws and regulations, including securities laws. Fundraisly does not endorse, verify, or guarantee any user, opportunity, or outcome.
Terms of Service
Unless otherwise specified, all references to our services (the “Service”) include the content, applications, files, features, functionality, software, text, displays, images, video, audio and the design, selection, and arrangement thereof (collectively the “Applications”) offered on or through the Site, whether as a guest or a registered user. The term “user”, “you” or “your” refers to the user of our Siteand our Service, including visitors that do not register for an account. The following Terms of Serviceare a legally binding contract between you and Fundraisly regarding your use of the Website andServices.

By using the Site, purchasing a Monthly Subscription Plan or a Pay-Per-Call Plan (the “Service Plan”), downloading any Applications or by clicking to accept or agree to the Terms of Service and Privacy Policy when this option is made available to you, you, and if you are acting on behalf of a third party, such third party, accept and agree to be bound and abide by these Terms of Service and our Privacy Policy, found at https://fundraisly.com/privacy-policy. If you do not agree to be bound by all of these Terms, you may not access or use our Service. We may change this Agreement at any time by posting an updated Terms of Service on this Website. If any amendment to these Terms is unacceptable to you, you shall cease using the Website otherwise you will be constructively deemed to have accepted the changes.
In addition, certain areas of the Service may be subject to additional Terms and Conditions that we have made available for your review. By using such areas, or any part thereof, you are expressly indicating that you have read and agree to be bound by the additional Terms and Conditions applicable to such areas. Eligibility for Our Service
By using our Services, you represent and warrant that you have attained the age of majority where you reside (18 years of age in most jurisdictions) and are otherwise capable of entering into binding contracts including this Agreement. We reserve the right to request documented proof of your compliance with these terms of eligibility.
If you are using our Services on behalf of a company or other organization, you represent and warrant that you have authority to act on behalf of that entity and to bind that entity to this Agreement.
Our Services and Service Plans
Fundraisly offers Services under several specific Service Plans, each of which include details on pricing, payment terms, scope, duration, and Deliverables. Your selected Service Plan governs the specific commercial terms applicable to your account and forms part of these Terms.
Upon registration for a Fundraisly account a user will, as a part of the on boarding process, be presented with the specific legal terms of their desired Service Plan agreement (the “Master Service Agreement and Service Plan Addendum”). These terms must be accepted by using Clickwrap or a similar procedure. Clickwrap is a type of legally binding digital agreement where you show your acceptance by clicking a button like "I Agree," "Accept," or "Continue" after being presented with our Service Plan terms and conditions.
By selecting a Service Plan and digitally accepting the Master Service Agreement and Service Plan Addendum terms, you agree to, and bound by, the applicable fees, payment terms, scope of services, and all other Plan-specific conditions presented to you in the Master Service Agreement and Service Plan Addendum.
In the event that any of the Master Service Agreement and Service Plan Addendum terms conflict with this Website Terms of Service Agreement, the Master Service Agreement and Service Plan Addendum terms will control.
The software, content, Services and products available in, or through our Website are for your personal use only. You may not sell or resell any of our content, Services, software or products we provide to you or which you otherwise receive from us.
Any modifications and new features added to the Service are also subject to this Agreement.
You are responsible for both:
Making all arrangements necessary for you to have access to the Site and its Applications.
Ensuring that all persons who access the Site or Applications through your internet connection are aware of these Terms of Service and comply with them.
Fundraisly reserves the right to modify the Service or any feature or functionality thereof at any time without notice to you. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site or Applications, or the entire Site, to users, including registered users. All right, title and interest in and to the Service and its components will remain with and belong exclusively to Fundraisly.
Accounts and Registration
To access our Services users will be required to register for an account and electronically accept the Master Service Agreement and Service Plan Addendum. When you register for an account, you will be required to provide us with some information about yourself including, but not limited to, your name, business title, date of birth, e-mail address, business name and physical address.
If you provide Your Information to us then you agree to provide true, current, complete and accurate information, and not to misrepresent your identity. You also agree to keep Your Information current and to update Your Information if any of Your Information changes.
We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time if, in our reasonable opinion, you have violated any provision of these Terms of Service or your Master Service Agreement and Service Plan Addendum.
Our collection, use and disclosure of Your Information is governed by this Agreement and our Privacy Policy which you may access here https://fundraisly.com/privacy-policy.
Account Management
If you have been issued an account by Fundraisly in connection with your use of the Services, you must treat such information as confidential, and you must not disclose it to any other person or entity. You are responsible for safeguarding your password and any other credentials used to access that account, even if you authorize other parties to access your account. You, and not Fundraisly, are responsible for any activity occurring in your account, whether or not you authorized that activity. If you become aware of any unauthorized access to your account, you should notify Fundraisly immediately.
As a function of providing our Services Fundraisly may send text messages to your mobile phone or notices to the email address registered with your account. You must keep your email address, mobile phone number and, where applicable, your contact details associated with your account current and accurate.
We reserve the right to modify, suspend or terminate the Service, any user account or your access to the Service for any reason, without notice, at any time, and without liability to you.
Consult your Master Service Agreement and Service Plan Addendum regarding the effect of termination, expiration or cancellation of your Fundraisly account.
We reserve the right to refuse to issue an account to anyone or permit access to the Service to anyone for any reason at any time.
In Website Purchases
Fundraisly may now, or in the future, provide you with the ability to make purchases of services or products through an In Website Purchase option using a secure third party payment processing service. If you choose to make an In Website Purchase, you will be prompted to confirm your purchase with the applicable payment processor, and provide them with your preferred method of payment, which will then be charged at the prices displayed to you at the time of purchase, along with any sales tax or other charges. You authorize Fundraisly to charge the payment method you specify at the time of purchase. Fundraisly does not receive or store your method of payment information. If you have any questions regarding your method of payment information, you will need to contact the secure third party payment processing service.
Your License, Access and Use of our Services; Prohibited Uses of Site
Subject to your continued compliance with this Agreement, Fundraisly grants you, a limited, non-exclusive, revocable, non-sub-licensable, worldwide, license to access and use Fundraisly Website and Services solely for your personal and business use. Any other use is expressly prohibited. This license is revocable at any time without notice and with or without cause.
Your right to access and use our Services is personal to you, or your business entity, and is not transferable by you to any other person or entity. Access to our Services may not be available in all locations. You are only entitled to access and use our Services for lawful purposes and pursuant to the terms and conditions of this Agreement and our Privacy Policy. Any action by you that, in our sole discretion: (i) violates the terms and conditions of this Agreement and/or the Privacy Policy; (ii) restricts, inhibits or prevents any access, use or enjoyment of our Services; or (iii) through the use of our Services, defames, abuses, harasses, offends or threatens others, shall not be permitted, and may result in your loss of the right to access and use our Services.

To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm Fundraisly or users of the Site, or expose them to liability;
Use the Site in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Site, including their ability to engage in real time activities through the Site;
Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site;
Use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms of Service, without our prior written consent;
Use any device, software, or routine that interferes with the proper working of the Site;
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site;
Attack the Site via a denial-of-service attack or a distributed denial-of-service attack; or
Otherwise attempt to interfere with the proper working of the Site.

Our Services may now, or in the future, have "publicly accessible areas" that allow users to post their own User Content that will be accessible by the public or the user population generally. As a user of the Services, you acknowledge and affirmatively agree that in the course of using the Services you may be exposed to User Content that might be offensive, harmful, inaccurate or otherwise inappropriate. You further agree that Fundraisly shall not, under any circumstances, be liable in any way for any User Content.
You understand and agree that you are solely responsible for compliance with any and all laws, rules, regulations, and Tax obligations that may apply to your purchases or use of the Services.
Suspension and Termination of Services
Fundraisly may limit, suspend or terminate the Services to you if you fail to comply with these Terms, the Privacy Policy, the terms of your Master Service Agreement and Service Plan Addendum or if you use the Services in a way that causes legal liability to us or disrupts use of the Service by other users.
Fundraisly may also suspend the Services to you if we are investigating suspected misconduct by you. Fundraisly will use commercially reasonable efforts to narrow the scope and duration of any limitation or suspension under this Section as is needed to resolve the issue that prompted such action.
Information Accuracy
We attempt to ensure that information on this Service is complete, accurate and current. Despite our best efforts, the information on our Service may occasionally be inaccurate, incomplete or out of date. We make no representation as to the completeness, accuracy, or currency of any information on the Service.
Furthermore, information on the Service may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct or make changes in such information without notice.
No Solicitation; Independent Due Diligence

Our names, graphics, videos, logos, avatars, page headers, button icons, scripts, and service names are our trademarks or trade dress in the United States and/or other countries (collectively the "Proprietary Marks"), and are owned by Fundraisly or licensed to us. You may not use the Proprietary Marks without our prior written permission.
We make no proprietary claim to any third-party names, trademarks or service marks appearing on our Services including, without limitation, those owned by any participating merchants accessible via our Website. Any third-party names, copyrights, trademarks and service marks are property of their respective owners and users may not use them without independently obtaining a right to do so from the owner.
The information, content, documentation, guides, descriptions, advice, data, software and any other content viewable on, contained in, or downloadable from our Services (collectively, "Our Content"), including, without limitation, all text, graphics, charts, pictures, photographs, images, videos, audio files, line art, icons and renditions, are copyrighted by Fundraisly, or otherwise licensed to us by Our Content suppliers.
We also own a copyright of a collective work in the selection, coordination, arrangement, presentation, display and enhancement of Our Content (the "Collective Work").

"User Content" means, without limitation, any Pitch Deck, traction metrics, data, plans, lists, strategies, images, photos, audio, video, artwork, text, messages, documents, digital files, music, hyperlinks, comments, reviews, feedback, suggestions, or any other content you upload, transmit or otherwise make available to Fundraisly or other users via the Services. You represent and warrant that you own or otherwise control the rights to your User Content and that each and every part thereof, is an original work by you, or you have obtained all rights, licenses, consents and permissions necessary in order to use those parts at any and all times. You further agree to indemnify Fundraisly and its affiliates for all claims arising from or in connection with any claims to any rights in your User Content, or any damages arising from our use of your User Content.
By submitting User Content on or through the Service, you grant to Fundraisly, and to each of Fundraisly users with whom you share your User Content, a perpetual, worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, re-use, broadcast, stream, download, reproduce, transmit, print, publish, display, exhibit, distribute, re-distribute, copy, host, store, cache, archive, index, categorize, edit, alter, modify, adapt, translate, create derivative works based upon, and to publicly perform such User Content without attribution, and without the requirement of any permission from, or payment to, you or to any other person or entity, in any manner including, without limitation, for commercial, publicity, trade, promotional, or advertising purposes, and in any and all media now known or hereafter devised. User Content is not considered to be confidential. You agree not to submit User Content to a public area of our Services, or to other users of our Services, in which you have any expectation of privacy or confidentiality.

Use of third-party platforms to create and access your account is subject to the terms and conditions and privacy policies of such third parties. We reserve the right to remove any User Content on the Services which allegedly infringe upon another person's copyright, trademark or other intellectual property right, and/or terminate, discontinue, suspend and/or restrict the account or ability to visit and/or use the Services or remove, edit, or disable any User Content on the Services which allegedly infringe upon another person's intellectual property rights. Counter-Notice
If you receive notification that your User Content has been removed from the Services, you have an opportunity to appeal this removal if you believe that your User Content was removed in error. If you believe that the removed User Content does not violate any third-party rights, or you have authorization from the rights-holder or the rights-holder’s authorized agent to use the material in question, you may appeal the removal by sending an email notice to the Copyright Agent at: legal@fundraisly.com with the following information:

ALL SERVICES, SOFTWARE AND PRODUCTS AVAILABLE FROM FUNDRAISLY ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, FUNDRAISLY AND ITS PARENTS, SUBSIDIARIES, PARTNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, (COLLECTIVELY, THE “FUNDRAISLY PARTIES”) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

YOU AND WE AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO OUR SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Indemnity

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.
Release
IN EXCHANGE FOR YOUR RIGHT TO USE THE SERVICES, YOU RELEASE, TO THE MAXIMUM EXTENT ALLOWED BY LAW, FUNDRAISLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS FROM CLAIMS, DEMANDS AND DAMAGES OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, INCLUDING, WITHOUT LIMITATION, ANY SERIOUS EMOTIONAL OR PHYSICAL HARM, ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, YOUR USE OF OUR WEBSITE AND SERVICES, AND ANY PRODUCTS OR MERCHANDISE RECEIVED OR PURCHASED THROUGH THE USE OF OUR SERVICE.
IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE §1542, WHICH SAYS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”
Governing Law and Jurisdiction
All matters relating to the Site and these Terms of Service, and any dispute or claim arising there from or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision.
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Our Remedies
You acknowledge that we may be irreparably damaged if this Agreement is not specifically enforced, and damages at law would be an inadequate remedy. Therefore, in the event of a breach or threatened breach of any provision of this Agreement by you, we shall be entitled, in addition to all rights and remedies, to an injunction restraining such breach or threatened breach, without being required to show any actual damage or to post an injunction bond, and/or to a decree for specific performance of the provisions of this Agreement.
For purposes of this Section, you agree that any action or proceeding with regard to such injunction restraining such breach or threatened breach shall be brought in the state courts of record or a United States District Court for the State of Delaware. You consent to the jurisdiction of such court and waive any objection to the venue of any such action or proceeding in such court.
Law Enforcement
Fundraisly is committed to cooperating with law enforcement while respecting each individual’s right to privacy. If Fundraisly receives a request for user account information from a government agency investigating criminal activity, we will review the request to be certain that it satisfies all legal requirements before releasing information to the requesting agency.
Furthermore, under 18 U.S.C. §§ 2702(b)(8) and 2702(c)(4) (Voluntary Disclosure Of Customer Communications or Records), Fundraisly may disclose user account information to law enforcement, without a subpoena, court order, or search warrant, in response to a valid emergency when we believe that doing so is necessary to prevent death or serious physical harm to someone. Fundraisly will not release more information than it prudently believes is necessary to prevent harm in an emergency situation.

Confidentiality
Confidential information (“Confidential Information”) means information belonging to or in the possession or control of a party (the “Disclosing Party”), which is of a confidential, proprietary, or trade secret nature, and that is not readily available to the general public. Confidential Information will remain the property of Disclosing Party. The party receiving the Confidential Information (the “Receiving Party”) will preserve and protect all Disclosing Party’s Confidential Information and will not disclose the existence, source, or content of Confidential Information, except to its employees or subcontractors with a need to know and under obligation of confidentiality at least as stringent as those under this Agreement. Receiving Party will not use any of Disclosing Party’s Confidential Information except in relation to the Receiving Party’s Services, and then only to the extent necessary for the Receiving Party's internal business purposes.
Amendments to this Agreement
We reserve the right to update, amend and/or change this Agreement at any time in our sole discretion and without notice. Updates to this Agreement will be posted here. Amendments will take effect immediately upon us posting the updated Agreement on our Services. You are encouraged to revisit this Agreement from time to time in order to review any changes that have been made. The date on which this Agreement was last updated will be noted immediately below this Agreement. Your continued access and use of our Services following the posting of any such changes shall automatically be deemed your acceptance of all changes.
Severability
If any portion of this Agreement is deemed unlawful, void or unenforceable by any arbitrator or court of competent jurisdiction, this Agreement as a whole shall not be deemed unlawful, void or unenforceable, but only that portion of this Agreement that is unlawful, void or unenforceable shall be stricken from this Agreement.
No Waiver
No waiver by Fundraisly of any term or condition set out in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Fundraisly to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
Term and Termination
These Terms shall remain in full force and effect while you use the Website Services and until the Master Service Agreement and Service Plan Addendum expires or is terminated by you or Fundraisly.
Entire Understanding
This Terms of Service Agreement, the Privacy Policy and any Master Service Agreement and Service Plan Addendum, digitally accepted by you the user, represents the entire understanding and agreement between you and Fundraisly regarding the subject matter of the same, and supersede all other previous agreements, understandings and/or representations regarding the same.
